NCNDA Terms of Engagement

By utilizing the vessel sourcing services, submitting procurement forms, or engaging in communication with maritim.my (hereinafter referred to as the “Platform”), the engaging corporate entity, qualified buyer, vessel owner, or mandated shipbroker (hereinafter referred to as the “Participant”) explicitly agrees to abide by the following Non-Circumvention, Non-Disclosure Terms of Engagement.


1. Purpose of Engagement

The Platform operates an exclusive, off-market network for commercial maritime assets, including oil tankers, chemical carriers, and bunker barges. The purpose of this Agreement is to protect the integrity of off-market listings, direct owner mandates, and the professional brokerage fees/commissions of all participating parties involved in the introduction of maritime transactions.

2. Non-Disclosure & Confidentiality

The Participant agrees that any and all technical specifications, Deadweight Tonnage (DWT) data, hull designs, pricing, financial data, and identity of asset holders or buyers disclosed by the Platform are strictly confidential.

  • Restricted Access: The Participant shall not disclose, leak, or publish any off-market vessel data to third-party brokers, public forums, or unauthorized entities.
  • Internal Use Only: Confidential information shall be used solely to evaluate the specific acquisition or disposal request submitted through the Platform.

3. Non-Circumvention

The Participant explicitly agrees not to circumvent, avoid, bypass, or bypass-interact with any direct source, vessel owner, mandated broker, or buyer introduced by the Platform for the purpose of concluding a transaction directly or indirectly to avoid the payment of fees, commissions, or considerations.

  • Direct Contact Prohibition: The Participant shall not initiate direct contact, negotiations, or transactions with any corporate entity or individual introduced by the Platform without express written consent and authorization from the Platform’s designated desk.
  • Validity Period: This non-circumvention provision shall remain legally binding for a period of five (5) years from the date of the initial information disclosure or form submission.

4. Verification & Transaction Protocol

To maintain a secure environment and filter out speculative or unverified inquiries, the Platform enforces a strict multi-step workflow:

  • Documentation Requirement: The Participant acknowledges that specific vessel details, official certificates, and off-market coordinate data will only be released upon the submission of a verifiable Letter of Intent (LOI) and Proof of Funds (POF).
  • Mandate Protection: The Platform reserves the right to immediately terminate communication and engagement with any party found to be presenting “fake leads” or lacking direct mandate capability.

5. Commission & Brokerage Protection

In the event that a transaction (acquisition, charter, or disposal) is successfully concluded involving a vessel or entity introduced by the Platform, commission and brokerage fees shall be paid as mutually agreed upon in writing prior to the final closing. All fees shall be protected under standard international maritime NCNDA protocols.

6. Governing Law & Jurisdiction

These Terms of Engagement shall be governed by, construed, and enforced in accordance with the laws of Malaysia and international maritime regulatory frameworks. Any disputes arising from a breach of these confidentiality and non-circumvention terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

7. Acknowledgment & Consent
